TrueNorth Help is operated by Midazo Inc., a company registered in Canada. Our goal is to provide comprehensive support services for immigrants and new residents adapting to life in Canada.

Our Services are available to users who are at least 18 years of age or accessing the Services under the supervision of a parent or legal guardian. By using our Services, you represent and warrant that you meet these eligibility requirements.

TrueNorth Help provides information, resources, and support services for immigrants and new residents in Canada, including but not limited to:

• Language and communication support
• Career and employment services
• Housing and settlement assistance
• Tax guidance and financial information
• Personalized adaptation consultations

While we strive to provide accurate and up-to-date information, our Services are for general informational purposes only and should not be considered as legal, financial, or professional advice. We recommend consulting with qualified professionals for specific advice tailored to your individual circumstances.

4. User Accounts

Some of our Services may require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

TRUENORTH HELP DOES NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TRUENORTH HELP MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT ON OUR SERVICES OR THE CONTENT OF ANY WEBSITES LINKED TO OUR SERVICES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRUENORTH HELP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES; (III) ANY CONTENT OBTAINED FROM OUR SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL TRUENORTH HELP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OF USE OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless TrueNorth Help, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of our Services.

11. Changes to Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of our Services thereafter. Your continued use of our Services following the posting of revised Terms of Use means that you accept and agree to the changes.

12. Governing Law and Jurisdiction

These Terms of Use and any disputes arising out of or related to these Terms of Use or your use of our Services shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or related to these Terms of Use or your use of our Services shall be instituted exclusively in the courts of the Province of Alberta, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country.

13. Severability

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

14. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between you and TrueNorth Help regarding our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our Services.
